The Seer

The Seer is a true story of a relationship between God and an undesirable who grows from an abusive childhood tainted by drugs and bouts of self-loathing to a man of God who is given Divine power and an Angel. Still throughout his life he is at odds with the darkness that is all around him and must fight to keep his faith and his hope alive amidst the most trying of personal challenges. From an early age Joey had a tough childhood, by the time he was a teen, he had endured years of sickness, abuse, pain and confusion. At thirteen, he ran away from home to look for a better life but found only trouble. Not long after, he began to drink and use drugs. At sixteen he wandered aimlessly and hitchhiked around the United States and for over a decade. Joe recalled a time when he took an unfamiliar substance and saw an uninterrupted stream of pictures and shapes with a kaleidoscopic play of colors which streamed on the walls and ceiling in a circular motion around the room. It was a long night, as he looked at himself in the bathroom mirror, he felt dirty inside and bad about the general direction of his life. Hours and hours later as it faded away, he slept. When Joe revived his body early the next day, he pulled back the curtains, rubbed his eyes and squinted. The world was covered in ice from a storm; there wasn’t a cloud in the sky and the morning sun reflected off everything. It hurt his eyes, but it was a beautiful sight. He opened the window to get some air. It was cold and crisp, and it felt good as the freshness filled his lungs. "A new day had dawned." After seventeen years of drug and self-inflicted abuse Joe cried out to Jesus for help. He asked Jesus if He was real, to come down from heaven and set him free. A few weeks later on Palm Sunday Joe was invited to a church service from a friend he met at alcoholics anonymous. At the end of the service as everyone was leaving, a man made a loud statement and said: “If you have not been baptized with the Holy Ghost, you’re missing out on everything good God has for you!” As Joe was almost at the church exit those words pierced his soul, he knew he needed everything good God had for him. He turned, walked back and stood in front of the man, held out his right hand, and said, “I’ll take me a Holy Ghost!” The man put holy anointment oil on his right index finger, touched Joe’s forehead and prayed for him. Instantly Joe heard and felt hundreds of extremely powerful waves of energy rip through his body and lift him off the floor, about two inches. Time stopped as he felt darkness fade from within and light fill his heart. Sometime later he walked slowly down the aisle, opened the church doors and stood at the entrance. The atmosphere was illuminated with white fog. It covered trees, birds, and structures, it felt pure and peaceful. “A new day had dawned.” Joe looked at his car and knew he could not walk across the dirt parking lot to his car and get his soul dirty again. So, he….. At home he sat on the kitchen chair, stared at the wall for hours and thought: "Can I make it as a Cristian for one day. If I can make it as a Christian for one whole day, then maybe I can make it as a Christian for two days. If I can make it as a Christian for two whole days, then maybe I can make it as a Christian for three days and if I can make it as a Christian for three whole days, well......" That evening at church as Joe sat on the pew and listened to the man speak about God, suddenly the sanctuary filled with pure gold fog like transparent glass. The gold fog dripped off the church speakers that hung from the ceiling, it covered the pews, it covered the people that sat in the pews. The transparent gold fog slung off the man hands into the air as he talked. The next day when Joe showed up for work the boss saw the light of God shine off his face and chased him through the parking lot yelling you saw the light you lucky SOB you saw the light! Still throughout his life he is at odds with the darkness that is all around him and must fight to keep his faith and his hope alive amidst the most trying of personal challenges.

Tony also owns his own branding company where he continues to take his clients from obscurity to celebrity status. Tony Boldi and Associates is an acclaimed acting studio (with enrollment of more than 200). Tony was the stage director for the 34th Key Art Awards at the famous Academy Awards Kodak Theatre in Hollywood, California. Tony started his career in the fine arts as a drummer turned celebrity dj and got his big break while working for Mary Jo Slatter in Casting at MGM. Tony has performed with countless celebrities and even won the 2002 Armenian Grammy for best music video of the year as well as the 1998 New York Film Festival's best new film of the year award to name just a few of his accomplishments. Tony has dealt in everything from financing feature films to directing, writing, producing, editing and selling his projects from start to finish. Tony is the Co-Host of the LA Music Awards and new Co-Producer of the World Dance Awards and Choreographer's Carnival as of 2011. Tony was a candidate for the West Point Academy and received a full ride scholarship to the learning institution of his choice where he chose Western Michigan University where his mother was the Chairman of the Board of Trustees. Tony's parents were very successful in politics and music and his brother toured the World as a surf instructor for over a decade. Tony earned his Black belt at the age of 16 as well as ran the 1999 LA Marathon and finished in the top quarter with an exemplary time. V.      PROMOTIONAL AND DISTRIBUTION STRATEGY  


5.1      Promotional Strategy  


The Company has promoted other film projects through a variety of media and celebrity events. We will seek additional outlets and use our network of industry contacts to promote the Film and create advance “buzz” and generate public awareness. The following are some examples of the types of promotion and marketing activities that the Company plans to utilize.  


Television and Radio Appearances  


Producers intend to exploit talent on television talk shows and radio shows to generate publicity and interest in the film.  


Newspaper and Magazine Interviews  


Our Director and Producers have a history and positive relationship with dozens of entertainment industry and motion picture genre websites, and plan to utilize their following to exploit the film.  Internet / Website Tie-ins.  The company intends to use every social media venue available to drive traffic to The Seer website.  


Film Festivals  


If timing is appropriate producers intend to generate interest in the film by submitting the completed film to film festivals.


  5.2     Distribution Strategy  


Motion Picture Industry 


The motion picture industry is highly competitive, with much of a film’s success being directly related to the skills of the distributor’s marketing strategy. The Company has a positive relationship with multiple sales companies to oversee foreign sales and intends to negotiate with a distributor. To maximize the Company’s bargaining power, and the producers’ and investors’ potential profit, the distribution negotiation will begin just prior to or immediately following completion of principal photography. Distribution companies generally choose to view a film before they decide whether or not they will choose to invest their energies and resources in the film. 


This creates an opportunity for a truly exceptional film to be the source of a bidding war among distributors. The Company’s goal is to make a quality motion picture that people will enjoy and that distributors will be interested in picking up, thereby increasing the chances of the film’s success.  Distributors license the film to both domestic and foreign exhibitors, for a percentage of the box office gross. The best possible initial release for a feature film produced domestically is released in theaters. Not all films earn the prestige that a theatrical release will garner. However, a theatrical release drives the price upward for the rest of the media releases, such as home video, pay TV, etc. For a picture in initial release, the exhibitor will pay a percentage of the revenues from ticket purchases to the distributor (the “film rentals”). 


Film rentals customarily diminish over the length of a film’s theatrical run. Depending on the distribution agreement, the producers and investors are entitled to a percentage of film rentals, after the distributor recoups its distribution fee, P&A expenses and distribution expenses.  Other media releases for the film are calculated in a similar fashion. For instance, a home video company pays an amount to the distributor for the right to stock its video stores with the title. From these fees, the distributor will deduct its distribution fee, advertising costs and other distribution expenses in order to recoup its costs. The producers and investors then receive their agreed-upon revenues as set out in the distribution agreement. The same goes for television and ancillary rights. The sum total of the money received by the distributor from the exploitation of all rights that it is entitled to exploit under the agreement are called the “distributor’s gross”.  Every distribution agreement is different, however, there are similarities common to all. 


The distributor receives a distribution fee, which is the percentage of the profits that the distributor will receive from the gross. The distributor is then entitled to recoup its marketing costs and distribution expenses. The remaining sum is payable to the producers and investors, and is generally called the “producer’s gross” or the net sum.  Independent producers and production companies that have insight into distribution companies are at an advantage when negotiating for a film’s distribution agreement. It is in the Company’s and the investors’ best interest for the Company to seek a distribution advance against revenues, or to seek a negative pick-up, from a distribution company. An advance against revenues means that in exchange for the rights to the Film, the distributor would pay the Company a sum of money upfront. Portions of this advance can then be used to recoup those amounts expended in the production process. While many distributors do not pay advances on features, it is an important strategy for a producer to know and utilize when negotiating with distributors. A negative pick-up means that a distributor pays the actual costs of creating the negative of the film. This cost factors in development, pre-production, production and post-production. 


Depending on the distribution agreement, the relationship can end there with the distributor buying the producer out, or the producer can then share in net proceeds from the film after the distributor has recouped its distribution fee, negative pick-up costs, marketing and distribution expenses.  There is an active market for completed motion pictures, with virtually all studios and independent companies seeking to acquire completed films. These acquisitions are influenced by the film’s elements, such as quality of screenplay, cast, production values and the number of other films in the same genre or theme currently being distributed by the distributor.  Studio distribution models have extensive resources with which to finance a number of prints and have guaranteed exhibition of their product. This means that a film can be seen by large numbers of people at any given time. A film’s success at the box office can directly affect its success in online sales, rentals and all other venues. Another advantage to the studio distribution system is that, as the studios merge with larger corporate conglomerates, they often add arms of television stations and cable systems.  Each system, whether studio or independent, offers advantages and disadvantages with respect to the distribution strategy. Whether or not the Company will negotiate with an independent distributor, or a studio depends on which distributor offers the Film the strongest release pattern, platform or wide, with as many people as possible seeing the film. This must be balanced with the film’s potential profitability, thereby ensuring the producers and investors a return on their investment. 


VI.      TEN YEAR INVESTMENT OPPORTUNITY  


The investment opportunity for $255,768.00 to finance the Film is, 100% recoupment of initial investment plus 20% premium payable as “first monies returned” from the exploitation of the film. Once full investment plus interest is recouped, investors will receive 40% net receipts for up to 10 years.  


SEASONED PRODUCERS 


A seasoned producer with a solid, good quality script and an interesting story has a much better chance of attracting name talent to the film project. Not every role in a script is played by actors who are well known to the public. But it does help an independent film’s chance of success if one or two actors in the picture are instantly recognizable to the viewing public. Another way an independent producer can increase a film’s chance of success is to ensure that the production values are high. In essence, the concept of production value is based on the principal that it takes money to make money. An independent producer who spends his budget wisely to ensure that the film’s final look is one of quality has done his job well. 


The producers have a partially packaged and strategically proposed cast project. The film project will be supported by an interactive website and other marketing materials to attract the attention of fans worldwide. This package will all include a proposed $255,768.00 budget. The Company is seeking $255,768.00 in capital to fund the production of the Film over a period of 9 months. The Company proposes to secure all of its funds from venture capitalists and private investors. The Seer budgeted at $255,768.00 need only gross $639,420.00 to recoup its costs.  

VII.      FINANCIAL PROJECTIONS  


The revenue models contained in this document are based on certain assumptions of fact, and are presented for illustrative purposes only and do not represent a forecast of the anticipated results of the Company’s operations. Potential investors must recognize that the projections are only estimates, are not guaranteed, and should not be relied upon by any investor in connection with the Company.   


7.1      Financing Plan  


The Company proposes to secure all production financing from equity partners by means of a limited partnership investment. With production funding in place from independent investors, the Company can negotiate the most advantageous distribution deal. Management can choose to wait until principal photography has commenced before talking with distributors so that they will be able to view the professional quality of the film. This strategy will allow the maximum flexibility in a rapidly changing marketplace where the availability of product is in constant flux. Many factors affect the financial projections for a film. Its commercial appeal is the most important factor in determining financial success, followed closely by the agreement with the distributor. Being able to self-finance the production of a film puts the Company in the strongest position to control the quality and costs of the film, along with striking the best financial arrangements with the various distribution channels.  


7.2      Return on Investment (ROI) 


The Company is confident that it will create a motion picture which audiences will enjoy, thereby reaping the financial rewards from that success. The Company cannot guarantee that the film will be profitable, or that it will even earn back its budget, but will stand behind its commitment to ensure that the most reasonable distribution deal possible will be sought and executed.  The Company proposes to pay back the limited partners who invest in the Film in the following manner:  

(a) From the Producer’s Gross Income, the Company will cover distribution expenses, any and all outstanding production expenses not covered by the production budget, such as deferred pay of talent salaries and other such costs.  

(b) After deducting any deferred fees or outstanding expenses, the Producer’s Net Income will go directly to the financier. All funds are paid directly to the financier until full recoupment of investment with interest is complete. Accounting statements from distribution companies are usually handled on a quarterly basis for the first two years of the distribution agreement, and semi-annually thereafter for a period of two years. Accounting statements are then handled on an individual basis. Generally, the distribution company is responsible for providing statements and paying any sums due to the production company within sixty days of the end of each quarter. The Company will provide the limited partners with accounting statements and payments due and owing, if any, within sixty days of the receipt of those statements and money from the distributor.

  (c) After each limited partner has recouped his/her initial investment plus 20%, any additional money earned will be divided between the producers and the limited partners on a 40/60 basis.

7.3      Assumptions  


Distributor’s Gross Profit


The total sum of gross revenues the distributor receives from all financial sources worldwide, before recouping any of its expenses. Revenue disbursements are typically as follows: (i) the distribution fee; (ii) P&A (print and advertising) expenses; (iii) any additional distribution costs incurred by the distributor.  On average, the distribution fee a distributor charges for distributing a film internationally may be slightly higher than its domestic counterpart. We have assumed a 20% distribution fee. P&A expenses and sub-distribution expenses are generally handled by the specific buyer in the territory for which the rights to the picture are being licensed. The domestic distributor receives a royalty fee for the specific right being licensed to the buyer, plus a percentage of the net due to it after the buyer recovers its costs. 


Typical distribution expenses (calculated at 20%) are the expenses incurred by the distributor in taking a film to the many international markets for the sale or license of the rights to the picture to international buyers.  Producer’s Gross Profit. The net sum of money due to the producers and investors after the distribution company has deducted its fee and all costs incurred in the distribution and marketing of the film from gross revenues. Producer’s Gross Profit is sometimes called the Producer’s Net.  Production Cost (Budget). 


The Production Cost covers only those expenses incurred which leave the Company with a master print of the film. All marketing costs are included under P&A, and are the responsibility of the distributor.  Producer / Investor Return on Investment (ROI). This term represents projected revenue after the distributor’s fees and expenses have been deducted.  US Box Office Gross. Several films which have comparative values in any of the following categories: story, shooting style, budget, production values, distribution method, target audience, etc. were examined for purposes of the financial projections.  Pay Cable Revenue. Based on standard contractual patterns, which state that at performance levels of the box office, the first-run cable contract will provide fees calculated as step percentages of the rentals.  


Network TV Revenue. 


This model is typically limited for a Faith Based Film, but there are opportunities on Christian satellite channels.  Merchandising/Music Revenue. On films which do not have significant musical elements, such as a high-profile soundtrack, or established or rising music stars, or spin-off collectible characters, this market can be limited.  PPV/VOD/Non-theatrical Venues. A growing market among the limited distribution spectrum, and at higher performance levels, this market begins to have great value to the producers.  Online Sales. This projection is calculated conservatively in accordance with the figures for the films examined for purposes of these projections and taking into account the explosive growth in the online market, while also factoring in some downward pressure on pricing. The distribution / licensing fee is generally calculated at 15% - 20%. Home DVD video sales, online rental, and sales contracts are generally based on a royalty participation deal, with the royalty offered generally between 15 - 30%.

Development. A good script is vital as the basis for a successful film. Doc has invested ten years and $150,000 in the script development. The script for the Film is a Faith Based Drama based on a book about God at work in the life of an undesirable. This script combines familiarity and innovation in telling a story about finding religion.


Genre. The Film falls into a genre that has traditionally been very successful for the motion picture industry. Recent box office successes have verified the public's appetite for Faith Based Dramas. These Films typically have a broad audience appeal and are well received by the viewing public.
Release. Since the film caters to a broad-based audience, it is intended for an initial theatrical release, which will then translate into additional revenue streams in other media, such as online sales and rental, DVD sales, video and television broadcast. This also means that the film will have a greater chance to earn more money in the foreign marketplace.


Experience. Because the creative team behind the project has extensive experience within the industry, the Company plans to utilize the contacts and resources available to it to produce the film at a much lower cost than what a similar film project would cost if it was produced inside the studio system. By having independent status, the Company can reap the benefits available to independent productions, such as discounts in equipment rentals, camera packages and film processing rates, while still allowing us to maintain the highest production values. This means that the investors will benefit from a film that has the appearance of costing more than it actually does.

Investors that invest $35,000 will receive screen credit as “Executive Producer” in the movie and funds paid directly to the financier until full recoupment of investment with interest is complete. After each limited partner has recouped his/her initial investment plus 20%, (ROI) any additional money earned will be divided between the producers and the limited partners on a 40/60 basis, in addition to proceeds receivable from 40% of the film for 1.2 years.


SAPPHIRE

Investors that invest $50,000 will receive screen credit as “Executive Producer” in the movie and funds paid directly to the financier until full recoupment of investment with interest is complete. After each limited partner has recouped his/her initial investment plus 20%, (ROI) any additional money earned will be divided between the producers and the limited partners on a 40/60 basis, in addition to proceeds receivable from 40% of the film for 2.5 years.


DIAMOND

Investors that invest $100,000 will receive screen credit as “Executive Producer” in the movie and funds paid directly to the financier until full recoupment of investment with interest is complete. After each limited partner has recouped his/her initial investment plus 20%, (ROI) any additional money earned will be divided between the producers and the limited partners on a 40/60 basis, in addition to proceeds receivable from 40% of the film for 4.5 years.


ROSE DIAMOND

Investors that invest $250,000 will receive screen credit as “Executive Producer” in the movie and funds paid directly to the financier until full recoupment of investment with interest is complete. After each limited partner has recouped his/her initial investment plus 20%, (ROI) any additional money earned will be divided between the producers and the limited partners on a 40/60 basis, in addition to proceeds receivable from 40% of the film for 10 years.

The motion picture industry is highly competitive, with much of a film’s success being directly related to the skills of the distributor’s marketing strategy. Producers intend to aid this strategy, by assembling a marketable cast that will propel the film in the box office worldwide.
